GRANT OF RIGHTS

The Fangoria Blood Drive II Contest

In connection with my entry in the Fangoria Blood Drive II Contest (the “Contest”), which is sponsored by Koch Vision LLC (“Koch”) in conjunction with the Starlog Group ("Starlog") (such entities are sometimes collectively referred to herein as the "Promoter"), I hereby affirm, confirm and agree as follows:

1. I am over the age of 18 and a U.S. citizen, or if I am not over the age of 18, the notarized signature of my parent or legal guardian confirming their consent to my participation in the Contest is set forth below.

3. I confirm that I ‡ _______________ have read and do understand and agree to comply with the Official Rules of the Contest thereof.

4. I confirm that neither I nor any member of my family is a director, officer or employee or living in the same household as any director, officer and employee either of Promoter (or an employee, director or officer of any of Promoter’s respective parent companies, affiliates, subsidiaries, agents, advertising/promotional agencies, partners or representatives) or of Longview Entertainment.

5. I confirm that I have not committed any fraud or deception in entering or participating in the Contest.

6. I agree that my submission in the Contest will become the property of the Promoter who will not return any film(s) submitted in the Contest or any of the underlying documentation submitted in accordance with the Official Rules of the Contest.

7. I agree that, in the event that I am declared a winner of the Contest or cited for an honorable mention commendation, the value that the attendant publicity may have upon my career is sufficient and good and valuable consideration for granting Promoter the following rights: (i) I hereby irrevocably transfer, grant, convey and assign to the Promoter, and to the Promoter’s respective successors, assigns and licensees, the sole and exclusive license, under copyright and otherwise, during the term of the copyright of the film and any renewals thereof, the right to commercially exploit my film in any and all media now known or hereinafter devised, throughout the universe and the right to use my name, likenesses, photographs and biographical information in any and all media in connection with the advertising and promotion of my film and the commercial exploitation thereof, without any monetary compensation being paid to me for any of the foregoing; and (ii) I consent to the use of my name in any and all media with a “created by” credit being accorded to me after the name of my film appears in the applicable credits; and (iii) I hereby grant Promoter the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter, my submission for any purpose which Promoter deems necessary and/or desirable; and (iv) I hereby irrevocably waive any and all so-called moral rights that I may have in my submission.

8. I hereby release Koch Vision LLC, the Starlog Group and their respective parent companies, subsidiaries, or affiliates, or their advertising, promotion or production companies, from any harm, damage, liability, cost or expense whatsoever with respect to or in connection with the Contest.

9. I accept sole responsibility as the winner of a Prize in the Contest. I understand that I am solely responsible for the reporting and payment of any applicable federal, state, local or other taxes imposed as a result of winning a prize under the Contest.

10. I agree to return immediately upon demand to Koch Vision LLC and/or the Starlog Group any prize (or the value of such prize) that has been or may be awarded to me if any statement made herein is false.

11. I agree to execute any and all additional documentation reasonably necessary to implement the purpose and scope of this Affirmation of Eligibility and Grant of Rights.
